These Terms and Conditions explain how Design It works with clients and how you may use designit.design. Design It is a creative studio based in Dallas-Fort Worth, Texas, led by creative director Bryan Hernandez. By booking a project, paying an invoice, starting a retainer or subscription, or using this website, you agree to these terms.

1. Services

Design It provides creative services for practices and service businesses, including:

1. Creative partner retainers: ongoing monthly design and creative direction.
2. Website design and development, primarily on Webflow.
3. Brand identity, including logos, visual systems, and brand guidelines.
4. Social media content subscriptions: planned and designed posts, carousels, and related content.
5. Related design work such as print, presentations, and marketing materials.

The specific deliverables, timeline, and price for your work are set out in a written proposal, scope of work, or invoice (your "Agreement"). If your Agreement and these terms conflict, your Agreement controls.

2. Payment terms

Projects

For one-time projects such as a website or brand identity, a 50% deposit is due before work begins. The deposit reserves your place in the schedule. The remaining balance is due at completion, before final files are delivered or a website is launched or transferred to your account.

Milestone billing for larger projects

For larger projects, the total fee may be divided into milestones, such as discovery, design, development, and launch. The milestones and amounts will be listed in your Agreement. Each milestone invoice must be paid before work on the next phase begins.

Retainers and social media subscriptions

Creative partner retainers and social media content subscriptions are billed monthly, in advance, on either the 1st or the 15th of each month, as stated in your Agreement. By starting a retainer or subscription, you authorize Design It to charge your payment method on file, or to invoice you, on that date each month until you cancel. Either of us may end a retainer or subscription with at least 30 days' written notice. The monthly price and what it includes are stated in your Agreement before your first charge.

Late or missed payments

Invoices are due on the date shown. If a payment is late, work may be paused until your account is current, and delivery dates may shift. Payments are processed by third-party payment providers, and their terms also apply.

3. Scope, revisions, and changes

Each project includes the number of revision rounds listed in your Agreement. Additional revisions, new pages, new deliverables, or requests outside the agreed scope are quoted separately and billed only after you approve them. Retainer and subscription work is planned within the monthly scope in your Agreement. Unused retainer time does not roll over to the next month unless your Agreement says otherwise.

4. Your responsibilities

Good work depends on timely collaboration. You agree to provide content, images, logins, feedback, and approvals when requested, and to make sure you have the rights to any materials you provide. Delays in feedback or content may move timelines. If a project is paused for an extended period at your request or because of missing materials, it may need to be rescheduled.

5. Ownership and usage rights

1. Once your account is paid in full, you own the final, approved deliverables created for you, including your logo, brand assets, and website design.
2. Concepts, drafts, and design directions that were not selected remain the property of Design It.
3. Third-party items such as fonts, stock photos, icons, plugins, and software are licensed, not sold, and are subject to their own license terms. Some may require you to purchase your own license.
4. Design It may display completed work in its portfolio, case studies, website, and social media unless we agree in writing to keep a project confidential.

6. Websites, hosting, and third-party services

Websites are typically built and hosted on Webflow. Hosting, domains, email, booking tools, form tools, and other third-party services are provided by their own companies under their own terms and fees. We recommend that domains and hosting accounts be held in your name. Design It is not responsible for outages, data loss, price changes, or policy changes made by third-party providers.

7. Healthcare clients and sensitive information

Many of our clients are healthcare practices. Design It does not receive, store, or process protected health information (PHI) as part of its standard services and is not a business associate under HIPAA unless we sign a separate Business Associate Agreement. Clients are responsible for choosing compliant tools for any forms or systems that collect patient health information, and for not sending PHI to Design It.

8. No guaranteed results

We design to help you earn trust, leads, and growth, but we cannot guarantee specific outcomes such as search rankings, follower counts, traffic, leads, or revenue. Results depend on many factors outside our control.

9. Confidentiality

We keep your non-public business information confidential and use it only to deliver your work. We are happy to sign a mutual NDA when needed.

10. Cancellation and refunds

You may cancel a project or end a retainer or subscription as described in our Refund & Cancellation Policy, which is part of these terms.

11. Limitation of liability

To the fullest extent allowed by law, Design It is not liable for indirect, incidental, or consequential damages, including lost profits or data, arising from our services or this website. Our total liability for any claim is limited to the amount you paid Design It for the specific project or, for retainers and subscriptions, the fees paid in the three months before the claim.

12. Using this website

The content on designit.design, including text, images, case studies, and blog posts, belongs to Design It or its clients and licensors. You may read and share links to it, but you may not copy, resell, or republish it without permission. Blog content is general information, not legal, financial, or medical advice.

13. Governing law

These terms are governed by the laws of the State of Texas. Any dispute will be handled in the state or federal courts located in Dallas County, Texas. Before filing any claim, we both agree to try to resolve the issue informally by contacting each other in writing.

14. Changes to these terms

We may update these terms from time to time. The effective date above shows when they last changed. Changes do not affect Agreements already signed unless both parties agree.
